What are you acquiring? What can you do with it? What obligations survive closing? Where is the leverage? What happens when the assumptions change?

We advise developers, owners, and investors on site control, zoning, entitlements, development agreements, municipal approvals, easements, utilities, platting, and incentives.

Legal entitlement is only one layer. A project must also make sense across capital, design, infrastructure, timing, and exit. We approach development with all of it in view.

The question is never simply whether it can be approved. It is whether it can actually be built.

Real Estate Finance

Capital has a position. Make sure yours does too.

Real estate finance determines more than how a project gets funded. It determines priority, control, risk, and what happens when the plan changes.

We represent borrowers, developers, sponsors, and private capital in acquisition financing, construction loans, private debt, seller financing, preferred equity, joint ventures, guarantees, and workouts.

When multiple sources fund one project, every layer has its own economics and its own rights. Senior debt. Sponsor equity. Investor capital. Seller paper. Subordinate financing.

We structure the relationships between them so the project has enough capital to execute, and enough flexibility to survive reality.

Real estate disputes are rarely just about the contract. They are about possession, control, timing, cash flow, and leverage.

Litigation is a tool. The objective may be possession, performance, a negotiated exit, recovery of capital, or keeping a valuable deal alive.
